WHO OWNS YOUR TENANTS NOW?

New concepts, acquisitions and mergers create a constantly evolving tenant pool for retail landlords. Our annual report keeps track of who’s doing what in 2005.






The four Cs: Closing, consolidating, capturing and concepts

Last year when we published the Retail Scorecard, the retail landscape was summarized into three Cs: closing, consolidating and capturing. This year we add a fourth C to the list: concepts.

Chain store retailers have been creating new concepts to diversify their product mix and target different age groups. New retail concepts include Abercrombie’s Rhuel, Ralph Lauren’s Rugby, Pacific Sunwear’s One Thousand Steps and Gap Inc.’s Forth & Towne (scheduled to open in the fall of 2005), just to give a few examples.

However, department store mergers were the biggest stories of the year. In the face of increasing competition from discounters, some retailers consolidated and others put themselves on the block. Neiman Marcus was sold to two private equity firms and Barney’s was acquired by Jones Apparel Group. Rumors have also been circulating that Nordstrom is up for sale.

The May-Federated merger was the leading story of the year, and next in line was the sale of Saks divisions Proffitt’s and McRae’s to Belk. Saks is seeking a buyer for its northern department stores division and Club Libby Lu specialty chain, but industry scuttlebutt indicates the company’s upscale Saks Fifth Avenue division may end up selling also.

Prepared by the SCT editorial team and ICSC Research, the Scorecard provides a quick guide to many retail conglomerates that have stores in malls and neighborhood community and power centers.

While this list is by no means exhaustive, it does include many U.S. and some international firms that operate department store, specialty, category-killer and food chains. Some retailers, both public and private, are reluctant to reveal their exact store counts broken down by division. Stores are listed under the name of their parent corporation. Also included are store counts and addresses of company headquarters. All stores are located within the U.S. unless otherwise noted.

The data in this Scorecard are collected from the companies’ most recent quarterly financial documents or from their Web sites. Because of the fluid nature of the business, SCT cannot guarantee the accuracy of all figures.

Children’s Place acquires Disney retail chain


In October, The Children’s Place acquired 298 U.S. stores and 15 Canadian ones from The Disney Stores division of The Walt Disney Co. The apparel retailer also says it may push that store count to 600 in the coming years.

Disney will continue to operate and own its flagship in Manhattan as well as several stores inside Disney theme parks under a new banner, Worlds of Disney.

The transaction involved no up-front costs for Children’s Place. Instead, the retailer paid Disney a “working capital adjustment” based on the value of the stores’ inventory and some other factors. Starting in November 2006, Children’s Place will begin paying Disney royalties on the stores’ sales.

The parties have structured the deal as a 15-year agreement that could be extended to 45 years.

“The Children’s Place has the choice to decide not to renew, but must meet certain predetermined milestones in order to do so,” said Todd Mitchell, an analyst at Blaylock & Partners.

Children’s Place says it is committed to investing as much as $100 million to remodel and operate the stores. Further, the retailer says it plans to open Disney outlet stores and establish an online presence separate from Disney’s Web site.

In a press release, Children’s Place CEO Ezra Dabah pointed out similarities between the two chains, including store size, customer base and a regional mall-based real estate strategy.

“By leveraging the strong Disney brand name with Children’s Place’s expertise in sourcing and retailing, there is an opportunity to grow beyond the number of stores Disney currently operates in North America,” said Margaret Whitfield, an analyst at Ryan Beck & Co.

Mario Ciampi, senior vice president of store development and logistics at Children’s Place, will be appointed president of Disney Store North America.

The Children’s Place, based in Secaucus, N.J., currently operates 671 stores in the United States, 48 in Canada and two in Puerto Rico.



Ahold sells Bi-Lo, Bruno’s for $660 million


In December last year, Netherlands-based grocery conglomerate Ahold sold two of its U.S. subsidiaries, Bi-Lo and Bruno’s, to Dallas-based private investor Lone Star Fund for $660 million in cash. Combined, the two chains operate 450 supermarkets, which posted a total of some $5.4 billion in net sales for 2003.

Lone Star, which manages more than $13 billion in assets and investments, has earned a reputation as one of the highest-yield investment funds in the U.S.

Bi-Lo and Bruno’s retain their separate names, and Dean Cohagan, president and CEO of Bi-Lo, continues to lead both. The chains retain all their debt obligations and other liabilities, including capitalized lease obligations.

The Dutch company acquired Mauldin, S.C.-based Bi-Lo, which operates 287 stores in the Carolinas, Georgia and Tennessee, in 1977. Ahold bought Birmingham, Ala.-based Bruno’s for $500 million in 2001. Bruno’s operates 168 stores in Alabama, Florida, Georgia and Mississippi.

In a press release, Ahold President and CEO Anders Moberg said the company sold the chains to reduce debt and will now focus its U.S. business on the Giant and Stop & Shop supermarket banners.

Also in December, Ahold combined the real estate operations of its Stop & Shop and Giant chains and hired Burlington, Mass.-based Finard & Co. to manage its 20 shopping centers in Washington, D.C. Ahold is reportedly seeking a buyer for its U.S. chain of Tops convenience stores as well.



Movie Gallery buys Hollywood for $1.2 billion


In January Movie Gallery announced plans to purchase Hollywood Entertainment Corp. for $1.2 billion, including $350 million in assumed debt.

The new entity is the second-largest North American video rental company, with $2.5 billion in annual revenue and 4,500 stores in the United States, Canada and Mexico. Hollywood is a subsidiary of Movie Gallery and will continue to operate under the Hollywood banner out of Wilsonville, Ore. Joe Malugun, Movie Gallery’s chairman, president and CEO, serves as chief executive of the combined company.

Malugun said in a press release that few of the two companies’ stores overlap and the merger will bring a broader geographic presence and improved distribution capabilities.

Movie Gallery beat out two rivals for the chain. Movie rental monolith Blockbuster offered shareholders about $1 billion for Hollywood, and buyout firm Leonard Green & Partners put in a bid of about $619.7 million for the company.

Dothan, Ala.-based Movie Gallery, which operates 2,475 stores, has purchased more than 200 companies in the past 10 years. Movie Gallery’s board of directors has approved the Hollywood buy, but the deal is still awaiting green lights from government regulators and Hollywood’s board of directors.

Hollywood Entertainment operates about 1,920 Hollywood Video stores and 600 GameCrazy stores in the United States. Blockbuster operates about 9,000 stores worldwide.



Singapore investors buy 293-store Brookstone chain for $435 million


In April gadget retailer Brookstone agreed to be acquired by a Singapore-based consortium for about $435 million. The investment group is led by OSIM International and also includes JW Childs Associates and Temasek Holdings.

Brookstone, based in Merrimack, N.H., operates 288 branded stores in the U.S. and Puerto Rico, five Gardeners Eden stores and a catalog business. It reported a profit of $21.4 million last year on sales of $499 million.

“This transaction offers great value to our stockholders and tremendous opportunity for our company going forward,” said Michael Anthony, chairman, president and CEO of Brookstone, in a news release. “OSIM will be a strategic partner with product development capabilities extremely complementary to those of Brookstone’s, in addition to an international store infrastructure, primarily in Asia, that will help expand the Brookstone brand globally. JW Childs and Temasek are leading investment firms that have a long-term view toward growing the businesses in which they invest and have an excellent track record of working in partnership with management to build great companies.”



Neiman Marcus sells for $5.1 billion


In May, The Neiman Marcus Group agreed to sell the company for $5.1 billion to Texas Pacific Group and Warburg Pincus.

For their money, the buyers got one of the most prestigious names in the U.S. retail industry. The company operates 35 Neiman Marcus stores countrywide and two Bergdorf Goodman stores in New York City as well as 14 Last Call clearance centers, for a combined total of about 5 million square feet of retailing space. Neiman Marcus Direct, the company’s direct-to-consumer business, operates print catalog and online retail under the Neiman Marcus, Bergdorf Goodman and Horchow brand names.

Under the Neiman Marcus banner, Neiman Marcus Direct primarily offers women’s apparel, accessories and home furnishings. Horchow sells home furnishings, linens, decorative accessories and tabletop items. The company also owns majority interests in two designer resources: Kate Spade, a manufacturer of accessories, and Gurwitch Products, which manufactures Laura Mercier cosmetics.

“We are very pleased with the results of our strategic review,” said Richard A. Smith, Neiman Marcus Group chairman, in a news release. “This transaction provides outstanding shareholder value and represents an endorsement of the excellent performance of our entire team.” Each investor will hold an equal stake.



Federated to unload 68 stores next year


Federated Department Stores announced plans to sell about 68 stores in 66 malls next year to minimize overlaps between its own stores and those of May Department Stores Co., which Federated recently acquired. Included are 41 current May stores operating in 12 states under various nameplates, as well as 27 Federated stores operating in 14 states as Macy’s.

Most of the department stores to be closed and sold are in California, Ohio and Pennsylvania, Federated says.

In addition, Federated says it will convert a further 330 May stores to the Macy’s brand, bringing the total number of Macy’s stores to 730. The brands that will become Macy’s include such regional fixtures as Famous-Barr, Filene’s, Foley’s, Hecht’s, Kauffmann’s and Robinsons-May. Lord & Taylor will not convert, and the jury is still out on the fate of Marshall Field’s, Federated says.

Federated says the number of divestitures is consistent with its original expectations and that it will continue to study the May portfolio. Some plans may change as conversion dates approach, the company says. A small number of stores are under consideration for conversion to the Bloomingdale’s nameplate.

The current plan is to operate all May stores under their existing nameplates at least through the holiday season. The divestiture of duplicate May and Macy’s stores will begin next year. They will be offered for sale to landlords, developers and interested third parties. Federated says it intends to comply with existing lease and operating agreements, and the divestiture of certain stores will be subject to the satisfactory completion of negotiations with various third parties.



Saks Inc. sells McRae’s, Proffitt’s to Belk


In May, Saks Inc. sold its McRae’s and Proffitt’s divisions to rival Belk for $622 million. The company also said it is still seeking buyers for its 143-store northern department stores division and the Club Libby Lu specialty chain. The Birmingham, Ala.-based department store conglomerate will keep its Saks Fifth Avenue Enterprises and Parisian divisions.

The Belk deal included 47 stores in 11 Southeast states that generated revenues of about $700 million last year. Belk assumed the operating leases on leased stores.

Saks kept five McRae’s units in Alabama, including the Riverchase Galleria store in Birmingham, and plans to convert two to the Parisian banner. Saks CEO Brad Martin said the company has big growth plans for the 38-store Parisian division, including such new markets as Memphis, Tenn., and Arkansas.

Saks’ northern department stores division, up for sale as one unit, includes regional nameplates Bergner’s, Boston Store, Carson Pirie Scott, Herberger’s and Younkers. The Club Libby Lu business, which will sell as a separate unit, includes 43 freestanding stores and 23 in-store boutiques.



Toys ‘R’ Us sold to partnership for $6.6 billion


In March 2005, Toys ‘R’ Us agreed to be bought for $6.6 billion by an investment group headed by Kohlberg Kravis Roberts & Co.

“We are pleased to announce this transaction, which brings our strategic review to a very successful conclusion,” said John Eyler, chairman and CEO of Toys ‘R’ Us, in a news release. “There was competition among bidders during the review process, and the acquisition price reflects the compelling value of the global Toys ‘R’ Us and Babies ‘R’ Us operations and assets.”

Buyout specialist Kohlberg Kravis Roberts and partners Bain Capital and Vornado Realty Trust beat out a rival investment group headed by Cerberus Capital Management.

The Wayne, N.J.-based chain, whose sales have declined in recent years in the face of competition from discount stores, has 685 stores in the U.S. and 603 overseas. Babies ‘R’ Us brought in three-quarters of the company’s total operating income in the past fiscal year. The company posted $11.6 billion in sales last year.



Circuit City opts for stock repurchase; rejects $3.25 billion takeover offer


In March, Circuit City Stores refused a hedge fund’s $3.25 billion bid to take the company private, choosing instead to go it alone. “We are committed to continuing to unlock shareholder value in Circuit City,” said W. Alan McCollough, Circuit City’s chairman and CEO, in a press release.

Boston-based Highfields Capital Management made the cash bid on Feb. 11. “We are convinced that as a private company, Circuit City will be able to effect change more rapidly with fewer constraints,” Highfields wrote in a public letter to the retailer’s board. The Circuit City board chose instead to authorize a $400 million stock repurchase.

Circuit City has been unprofitable for three straight quarters. Losses for the third quarter totaled $5.9 million. The company has been battling Best Buy, which controls 13 percent of the $100 billion U.S. consumer electronics market. Circuit City holds about 7 percent and blames the shortfall on the fact that its stores are in secondary locations.



Forever 21 keeps Gadzooks name alive


Gadzooks is keeping its name after selling its assets to Forever 21, but as many as 93 of its stores could be closed, a senior executive of Forever 21 told SCT. “Some of the stores may go back to landlords,” said Larry Meyer, a Forever 21 senior vice president. “We are evaluating which stores are profitable, but no final decisions have been made.”

Teen-clothing retailer Gadzooks announced in February that it would sell its 243 stores and other assets to Forever 21 for about $33 million.

“We are confident that our fashion abilities combined with the Gadzooks strong retail presence will be a winning combination,” Meyer said.

Dallas-based Gadzooks, which operates stores in 40 states, is a specialty retailer of casual clothing, accessories and shoes for females between 16 and 22.

Forever 21 runs about 200 stores nationwide and is a specialty retailer of apparel and accessories for fashion-oriented women.

Last year Gadzooks lost about $62 million, suffering a 3.7 percent sales drop in December alone.
