Issue:
An employee of a leasing company was to receive a bonus commission on leases in a certain building managed

by Equitable Real Estate Management. Equitable terminated its contract with the leasing company and

negotiated leases directly with the tenants. After the leasing company fired the employee, it orally agreed to

give a bonus on certain leases. Subsequently, the leasing company signed a new agreement with Equitable to

lease other property and released Equitable from all commissions under the old agreement. The employee sued

the leasing company for breach of fiduciary duty and breach of contract. She sued Equitable for tortious

interference with contract. The court held that there was no agency and no fiduciary duty owed to the employee

by the leasing company. It also held that Equitable was not a stranger to the deal and, therefore, could not be

held liable for tortious interference.
